Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Code & Ledger website or engaging our services. By accessing our website or using our services, you agree to be bound by these Terms.
1. Agreement to Terms
These Terms constitute a legally binding agreement between you and Code & Ledger LLC ("Company," "we," "us," or "our"). By using our website at codeandledger.ai or engaging our services, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.
2. Services
2.1 Web Development Services
We provide website design, development, and maintenance services as described on our website and in individual project proposals. Each project is governed by a separate Statement of Work that outlines specific deliverables, timelines, and pricing.
2.2 Bookkeeping Services
We provide bookkeeping and financial record-keeping services as described on our website and in service agreements. Bookkeeping services are provided on a month-to-month basis unless otherwise agreed in writing.
2.3 Service Limitations
We are not licensed attorneys, CPAs, or financial advisors. Our bookkeeping services do not include tax preparation, tax advice, audit services, or financial planning. We recommend consulting appropriate licensed professionals for these needs.
3. Payment Terms
3.1 Web Development
- A 50% deposit is required before work begins
- The remaining 50% is due upon project completion, before final files are delivered
- Custom quotes may have different payment schedules as specified in the proposal
3.2 Bookkeeping
- Monthly fees are billed at the beginning of each service month
- Payment is due within 15 days of invoice date
- Late payments may incur a fee of 1.5% per month
3.3 Accepted Payment Methods
We accept major credit cards, bank transfers (ACH), and checks. All prices are in US dollars.
4. Refund and Cancellation Policy
4.1 Web Development
- If you are not satisfied with the initial design concept, we will revise based on your feedback or refund your deposit
- Once design is approved and development begins, the deposit is non-refundable
- Projects cancelled mid-development will be billed for work completed to date
4.2 Bookkeeping
- You may cancel with 30 days written notice
- No refunds for services already rendered
- Upon cancellation, we will provide all financial records in standard formats
5. Client Responsibilities
You agree to:
- Provide accurate and complete information necessary for us to perform services
- Respond to requests for feedback or approval in a timely manner
- Ensure you have rights to any content, images, or materials you provide
- Maintain confidentiality of any account credentials we provide
- Pay invoices according to the agreed terms
6. Intellectual Property
6.1 Your Content
You retain ownership of all content, images, logos, and materials you provide to us. You grant us a license to use these materials solely for providing our services.
6.2 Our Work Product
Upon full payment, you receive ownership of custom website code, designs, and deliverables created specifically for your project. We retain the right to display the work in our portfolio unless otherwise agreed.
6.3 Third-Party Components
Websites may include third-party components (themes, plugins, libraries) that remain subject to their original licenses. We will inform you of any significant third-party dependencies.
7. Confidentiality
We will maintain the confidentiality of your business information, financial records, and any proprietary information shared with us. This obligation survives termination of our business relationship. We may disclose information if required by law or court order.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability for any claims arising from our services shall not exceed the total amount you paid us in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- We are not liable for lost profits, lost data, or business interruption
- We are not liable for any third-party claims against you
9. Indemnification
You agree to indemnify and hold harmless Code & Ledger LLC, its owners, employees, and contractors from any claims, damages, losses, or expenses (including attorney fees) arising from:
- Your use of our services
- Content or materials you provide
- Your violation of these Terms
- Your violation of any third-party rights
10. Dispute Resolution
10.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at hello@codeandledger.ai to attempt to resolve any dispute informally within 30 days.
10.2 Binding Arbitration
If informal resolution fails, any dispute arising from these Terms or our services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in North Carolina. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
10.3 Class Action Waiver
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action or other representative proceeding.
10.4 Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.
12. Website Use
12.1 Acceptable Use
You agree not to:
- Use our website for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of our website
- Submit false or misleading information through our forms
- Use automated systems to access our website without permission
12.2 Availability
We strive to maintain website availability but do not guarantee uninterrupted access. We may modify or discontinue features without notice.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Effective Date." Continued use of our website or services after changes constitutes acceptance of the new Terms.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any project-specific agreements, constitute the entire agreement between you and Code & Ledger LLC regarding the subject matter herein.
